Public offer of the online French language school "Pas à Pas"Terms and Conditions (Public Offer Agreement)
1. Definitions
1.1. In this Agreement, unless the context requires otherwise, the following terms shall have the meanings set forth below and form an integral part of this Offer:
- Seller — Pas à Pas LLC (registered in the United States; email: pas-a-pas@mail.ru).
- Buyer — any individual who accepts this Public Offer under the terms of this Agreement.
- School — the official online school “Pas à Pas”, available at https://pasapas.tilda.ws. For the purposes of this Agreement, the terms “Online Store” and “Store” shall be considered equivalent.
- Product — online educational services, digital content, and other offerings listed on the School’s website.
2. General Provisions
2.1. This Public Offer (hereinafter referred to as the "Agreement") constitutes a legally binding agreement between the Seller and any individual with the legal capacity to enter into a purchase of Products under the terms set forth herein.
2.2. This Agreement is governed by applicable laws of the United States of America, including federal consumer protection regulations, e-commerce laws, and other relevant legal standards.
3. Subject and Price
3.1. The Seller agrees to provide, and the Buyer agrees to purchase and pay for, the Products listed on the School’s website.
3.2. Title and risk of loss for digital Products pass to the Buyer upon full payment and access provision.
3.3. Prices are determined unilaterally by the Seller and published on the website.
3.4. All prices are listed in U.S. Dollars (USD).
4. Acceptance of the Agreement
4.1. This document constitutes a Public Offer under U.S. contract law.
4.2. Acceptance (execution) of this Offer occurs when the Buyer completes an order on the School’s website, including: selecting a Product, adding it to the cart, choosing a payment method, and confirming the purchase.
4.3. By accepting this Offer, the Buyer agrees that:
- personal data is provided voluntarily;
- such data may be transmitted electronically over open Internet channels;
- such data may be processed by the Seller and, if necessary, third parties for the purposes of executing this Agreement;
- the Seller may use such data to provide information, promotional offers, and service updates, in accordance with the School’s Privacy Policy.
5. Rights and Obligations
5.1. Seller Obligations:Fulfill obligations to the Buyer under this Agreement and applicable U.S. law.
- Process personal data in accordance with applicable data privacy regulations (including U.S. federal and state privacy laws).
- Provide a receipt or confirmation of payment in electronic form.
5.2. Seller Rights:Modify this Agreement, pricing, and service terms at any time by posting updates on the website.
- Record customer communications for quality and compliance purposes.
- Use cookies and collect non-identifiable user data (e.g., IP addresses) for analytics and marketing.
- Send marketing and informational messages to the Buyer via email or SMS.
5.3. Buyer Obligations:Review this Agreement and the terms of sale before purchasing.
- Provide accurate and complete information necessary to complete the purchase.
- Pay for the ordered Product in full at the time of purchase.
- Use the Product solely for personal, non-commercial purposes.
6. Withdrawal of Offer
6.1. The Seller may withdraw or suspend this Offer at any time. Such withdrawal does not affect previously concluded agreements.
7. Force Majeure
7.1. Neither Party shall be liable for failure to perform obligations caused by events beyond reasonable control, including but not limited to natural disasters, wars, government actions, or Internet outages.
8. Liability
8.1. Each Party shall be liable for failure to perform obligations under this Agreement in accordance with applicable U.S. law.
8.2. The School’s website content (text, graphics, materials) is protected by U.S. copyright law. Unauthorized use is prohibited.
9. Governing Law and Dispute Resolution
9.1. This Agreement shall be governed by and construed in accordance with the laws of the United States of America.
9.2. Any disputes shall first be attempted to be resolved through good faith negotiations. If not resolved, disputes shall be subject to the exclusive jurisdiction of the state or federal courts located in
Delaware (or another chosen state of registration of the Seller).
